1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Linkist, including the Linkist website, mobile application, NFC card services, digital profile pages, QR code sharing, Personal Relationship Manager (PRM) features, AI-enabled relationship tools, subscriptions, customer support, and related services.

The Service is provided by RatioX Labs DWC-LLC, trading as Linkist ("Linkist", "we", "our", or "us").

By creating an account, placing an order, using the website, using the app, sharing a Linkist profile, purchasing an NFC card, or otherwise using the Service, you agree to these Terms.

If you do not agree to these Terms, you must not use the Service.

2. About Linkist

Linkist provides digital and physical tools for professional identity sharing and relationship management. The Service may include:

  • NFC business cards
  • Digital business cards
  • QR code profile sharing
  • Public and private digital profile pages
  • Contact and relationship management tools
  • Notes, reminders, tags, groups, and follow-up tools
  • AI-enabled contact organization and relationship assistance
  • ICP matching, Smart Signals, Smart Introductions, or similar PRM features
  • Profile analytics
  • Subscription plans
  • Team, group, event, or community features
  • Customer support and related services

The exact features available may depend on your plan, location, device, app version, subscription, permissions, and service availability.

3. Eligibility

You must be at least 18 years old to use Linkist.

By using the Service, you confirm that:

  • You are at least 18 years old
  • You have legal capacity to enter into these Terms
  • The information you provide is accurate and complete
  • You will use the Service only for lawful purposes
  • If you use Linkist on behalf of a company or organization, you are authorised to bind that company or organization

We may refuse, suspend, or terminate access if we believe these requirements are not met.

4. Account Registration and Security

You may need an account to use certain features.

You agree to:

  • Provide accurate and current information
  • Keep your account information updated
  • Keep your login credentials, email, phone, OTP access, and devices secure
  • Notify us immediately of suspected unauthorised access
  • Be responsible for activity under your account unless caused by our breach of these Terms or applicable law

We may use OTP, email verification, phone verification, or other security methods to protect accounts.

5. Digital Profiles, NFC Cards, and QR Sharing

Linkist allows users to create and share digital profiles through URLs, QR codes, NFC cards, or other sharing methods.

You are responsible for the information you publish or share through your Linkist profile.

You must not publish or share content that is:

  • False, misleading, or deceptive
  • Illegal or harmful
  • Infringing of intellectual property rights
  • Confidential or unauthorised
  • Defamatory, abusive, discriminatory, harassing, or threatening
  • Invasive of another person's privacy
  • Containing personal data you are not authorised to publish
  • Containing malware, phishing links, spam, or harmful code

Some profile information may be public or accessible by anyone with your profile link, QR code, or NFC card. You are responsible for reviewing your profile settings and shared content.

6. NFC Cards and Custom Products

Linkist may offer physical NFC cards and related products.

Custom NFC cards may include names, titles, company details, logos, colours, QR codes, NFC profile links, or other information provided by you.

You are responsible for ensuring that all submitted content is accurate, lawful, and authorised.

We may reject or cancel orders containing unlawful, offensive, infringing, misleading, or unauthorised content.

NFC functionality depends on compatible devices, device settings, operating system restrictions, network access, and correct usage. We do not guarantee that NFC cards will work with every device or in every technical environment.

7. Orders, Pricing, Taxes, and Payment

When you place an order, you make an offer to purchase the selected product or service. We may accept or reject an order for reasonable legal, operational, payment, compliance, or product availability reasons.

Prices are displayed in USD unless otherwise stated. Taxes, VAT, duties, shipping, and other charges may be included or added at checkout depending on the product, delivery location, and applicable law.

Payment is due at checkout unless otherwise agreed. Payments may be processed by third-party payment providers such as Stripe.

We are not responsible for payment failures, bank charges, exchange rate charges, card issuer fees, or third-party payment provider issues outside our control.

8. Subscriptions and Renewals

Some Linkist services may be offered on a subscription basis.

Subscription terms, billing frequency, features, limits, renewal rules, cancellation options, and fees will be shown at checkout or in the relevant plan description.

Unless stated otherwise, paid subscriptions may renew automatically until cancelled. You are responsible for cancelling before the renewal date if you do not want the subscription to renew.

We may change subscription features or prices by giving reasonable notice where required by law. Confirmed billing periods already paid will not be affected unless required by law or agreed with you.

9. Order Changes, Returns, and Refunds

Because NFC cards and related products may be custom-made, changes or cancellations may not be possible once production has started.

You may request modification or cancellation within 24 hours of order placement, but we do not guarantee that changes can be made if production or fulfilment has begun.

Custom products are returnable only where:

  • The product is defective
  • We made a production error
  • The product materially differs from the confirmed order
  • Applicable consumer law requires a refund or replacement

You must contact support within 7 days of delivery for defective or incorrect products, unless a longer period is required by law.

Approved refunds will usually be processed within 5 to 10 business days after approval, but bank or payment provider processing times may vary.

10. User Content

You retain ownership of content you submit to Linkist, including profile text, logos, photos, links, business details, contact notes, and other user-generated content.

By submitting content, you grant Linkist a limited, worldwide, non-exclusive, royalty-free licence to host, process, display, reproduce, format, transmit, and use that content only as necessary to provide, operate, secure, improve, and support the Service.

You confirm that you have the rights and permissions needed to provide the content to Linkist and to allow us to use it under these Terms.

We may remove or restrict content that violates these Terms, applicable law, third-party rights, or platform policies.

11. Contact Import and Third-Party Data

Contact import is optional.

If you import contacts from your device, address book, email account, or another source, you confirm that you have the right, authority, consent, or legitimate reason to provide that information to Linkist for your own contact management and professional relationship purposes.

You must not import contact data that is unlawful, unauthorised, confidential, sensitive, excessive, or unrelated to your lawful use of the Service.

Linkist may process imported contact data to provide contact organization, matching, reminders, PRM tools, AI features where enabled, duplicate detection, and related functionality.

Linkist may delete, restrict, anonymise, or stop processing imported contact data where required by law, by a data subject request, by these Terms, or by our Privacy Policy.

12. AI-Enabled Features

Linkist may provide optional AI-enabled features, including contact enrichment, relationship summaries, ICP matching, Smart Signals, Smart Introductions, suggested follow-ups, scoring, and other relationship management assistance.

AI outputs are generated using available data and automated systems. They may be inaccurate, incomplete, outdated, biased, or unsuitable for your specific purpose.

You agree that:

  • AI outputs are assistive and informational only
  • You remain responsible for reviewing AI outputs before using them
  • You will not rely on AI outputs as legal, financial, medical, employment, credit, compliance, or professional advice
  • You will not use AI features to make unlawful, discriminatory, harmful, or unfair decisions about individuals
  • You will not use AI features to infer sensitive personal characteristics unless expressly permitted by law and by Linkist

We may limit, suspend, or disable AI features for legal, technical, safety, cost, vendor, compliance, or product reasons.

13. Acceptable Use

You agree to use Linkist lawfully and responsibly.

You must not:

  • Use the Service for illegal, fraudulent, harmful, or deceptive purposes
  • Impersonate another person or organization
  • Upload false, misleading, unauthorised, or infringing content
  • Violate privacy, data protection, intellectual property, consumer protection, cybersecurity, or communications laws
  • Upload or distribute malware, spyware, phishing content, or harmful code
  • Scrape, harvest, sell, or misuse personal data
  • Spam, mass-message, or send unsolicited communications using Linkist
  • Attempt to gain unauthorised access to systems, accounts, or data
  • Reverse engineer, copy, resell, or misuse Linkist technology except where permitted by law
  • Interfere with service security, availability, or performance
  • Use automated tools to abuse, overload, or extract data from the Service
  • Use Linkist to profile, target, discriminate against, or harm individuals unlawfully

14. Prohibited Data and Sensitive Use

Unless expressly permitted by Linkist and lawful under applicable law, you must not upload, import, or process through Linkist:

  • Government identification documents
  • Financial account numbers unrelated to payment processing
  • Health or medical records
  • Children's data
  • Biometric identifiers used for identification
  • Criminal records
  • Highly sensitive personal data
  • Confidential third-party information
  • Data obtained unlawfully

Linkist is not designed for storing regulated sensitive records, medical data, legal case files, financial compliance records, or confidential HR records.

15. Third-Party Services

Linkist may integrate with or rely on third-party services, including payment providers, email providers, hosting providers, analytics tools, shipping providers, AI providers, social platforms, messaging apps, and app stores.

Third-party services are governed by their own terms and policies. We are not responsible for third-party services outside our control.

We may change, replace, suspend, or remove third-party integrations at any time.

16. Privacy and Data Protection

Our handling of personal data is described in our Privacy Policy.

By using Linkist, you acknowledge that we process personal data as described in the Privacy Policy.

You agree to comply with applicable privacy and data protection laws when uploading, importing, sharing, or processing personal data through Linkist.

If you use Linkist on behalf of a company, team, event, or organization, you are responsible for ensuring that your use of Linkist complies with applicable privacy, employment, marketing, communications, and data protection requirements.

17. Intellectual Property

Linkist, including its software, designs, trademarks, logos, brand elements, user interface, workflows, technology, content, documentation, and platform features, is owned by Linkist, RatioX Labs DWC-LLC, or its licensors.

These Terms do not transfer ownership of Linkist intellectual property to you.

You may use the Service only as permitted by these Terms.

You must not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from Linkist technology or content unless expressly permitted by us or applicable law.

18. Feedback

If you provide suggestions, ideas, bug reports, feature requests, or feedback, you grant us the right to use them without restriction or compensation, provided we do not disclose your personal data except as described in the Privacy Policy.

19. Service Availability and Changes

We aim to provide a reliable Service, but we do not guarantee uninterrupted or error-free operation.

The Service may be unavailable due to maintenance, upgrades, outages, security incidents, third-party failures, internet disruption, app store restrictions, force majeure, or other reasons.

We may change, suspend, remove, or limit features at any time for product, security, legal, compliance, operational, or business reasons.

20. Beta, Pre-Launch, and Founding Member Features

Some Linkist features, including pre-launch access, Founding Member benefits, AI credits, early NFC card offers, beta features, or limited-access services, may be experimental, invite-only, limited, or subject to change.

Beta or pre-launch features may contain errors, limitations, downtime, or incomplete functionality.

We may modify or discontinue beta features without liability, subject to applicable consumer rights.

21. Suspension and Termination

We may suspend or terminate access to Linkist if:

  • You breach these Terms
  • You violate applicable law
  • Your use creates security, privacy, legal, or operational risk
  • You misuse personal data or third-party data
  • Payment fails or remains unpaid
  • We are required to do so by law, court order, regulator, payment provider, app store, or platform provider
  • Your account is inactive for an extended period, subject to our policies

You may stop using Linkist or request account deletion at any time.

Upon termination, your right to use the Service ends. Certain provisions will survive termination, including intellectual property, payment obligations, privacy-related responsibilities, disclaimers, liability limits, indemnity, dispute terms, and provisions that by nature should survive.

22. Effect of Account Deletion or Termination

After account deletion or termination, we may delete, anonymise, restrict, or retain data in accordance with our Privacy Policy and applicable law.

We may retain limited data where required for:

  • Tax and accounting records
  • Fraud prevention
  • Security investigations
  • Dispute resolution
  • Legal claims
  • Compliance records
  • Enforcement of these Terms

Your public profile, QR code, or NFC card link may stop working after account deletion or termination.

23. Disclaimers

The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by law.

We do not guarantee that:

  • The Service will be uninterrupted or error-free
  • NFC will work with every device
  • QR links will always be available
  • AI outputs will be accurate or complete
  • Contact enrichment will be correct or current
  • Relationship scores or suggestions will produce business results
  • Profile analytics will be exact
  • Third-party services will remain available

Nothing in these Terms excludes rights that cannot be excluded under applicable law.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Linkist, RatioX Labs DWC-LLC, and their directors, officers, employees, contractors, suppliers, partners, and affiliates will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, business, goodwill, reputation, data, opportunity, or anticipated savings.

To the maximum extent permitted by law, our total liability for claims arising out of or relating to the Service will not exceed the amount you paid to Linkist for the specific product or service giving rise to the claim during the 12 months before the claim arose.

Nothing in these Terms limits liability that cannot be limited under applicable law.

25. Indemnity

You agree to indemnify and hold harmless Linkist, RatioX Labs DWC-LLC, and their directors, officers, employees, contractors, suppliers, partners, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from:

  • Your breach of these Terms
  • Your unlawful use of the Service
  • Your content
  • Your imported contacts or third-party data
  • Your violation of privacy, data protection, intellectual property, or other rights
  • Your misuse of AI features or automated outputs
  • Your violation of applicable law

26. Consumer Rights

Nothing in these Terms is intended to exclude or limit any mandatory consumer rights that apply under UAE law or other applicable law.

Where required by law, mandatory consumer rights will prevail over inconsistent provisions in these Terms.

27. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates as applicable in Dubai, without regard to conflict of law rules.

Subject to applicable law, the courts of Dubai, United Arab Emirates shall have jurisdiction over disputes arising out of or relating to these Terms or the Service.

28. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we may notify users by email, in-app notice, website notice, or another appropriate method.

The updated Terms will apply from the effective date stated above. Continued use of the Service after the effective date means you accept the updated Terms.

29. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations to an affiliate, successor, acquirer, or as part of a merger, restructuring, sale of assets, or corporate transaction, subject to applicable law.

30. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in effect.

31. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights.
